These Terms of Service ("Terms") govern your access to and use of Orion (the "Service") provided by Astrophe Solutions, LLC ("we," "us," or "our"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Orion is a software service that helps organizations configure and operate AI-related workflows and related features we make available from time to time. We may modify, suspend, or discontinue parts of the Service with reasonable notice where practicable.

You must provide accurate registration information and safeguard your credentials. You are responsible for activity under your account. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

You retain rights in content and data you submit to the Service ("Customer Content"). You grant us a non-exclusive license to host, process, transmit, and display Customer Content solely to provide, secure, and improve the Service as described in our Privacy Policy. You represent that you have the rights needed to submit Customer Content.

5. Fees and payment

Paid plans, taxes, and billing cycles are presented at checkout or in your order. Unless stated otherwise, fees are non-refundable except as required by law or as we expressly agree in writing. Failure to pay may result in suspension or termination of access.

6. Third-party services

The Service may integrate with third-party products (for example, authentication, cloud, or payment providers). Those services are governed by their own terms and privacy policies; we are not responsible for third-party services we do not control.

7. Intellectual property

We and our licensors own the Service, including software, branding, and documentation. Except for the limited rights granted in these Terms, we reserve all rights. You may not remove proprietary notices or use our trademarks without permission.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI OUTPUTS MAY BE INACCURATE OR INCOMPLETE; YOU ARE RESPONSIBLE FOR HOW YOU USE THEM.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER Astrophe Solutions, LLC NOR ITS SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT ALLOWED BY LAW.

You will defend and indemnify Astrophe Solutions, LLC and its affiliates, officers, and employees against third-party claims and costs arising from your Customer Content, your use of the Service in violation of these Terms, or your violation of law.

We may suspend or terminate access for breach of these Terms or for operational or legal reasons. You may stop using the Service at any time. Provisions that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnity) will survive termination.

We may update these Terms by posting a revised version and updating the "Last updated" date. Material changes may be communicated through the Service or by email. Continued use after the effective date constitutes acceptance of the updated Terms.

13. Governing law and disputes

These Terms are governed by the laws of the United States and the State of Delaware, excluding conflict-of-law rules. Courts in Delaware have exclusive jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction. You and we waive any right to a jury trial to the extent permitted by law.
